Companies entering Malaysia rarely fail because the technology was wrong. They fail because the entity was set up before the partner was chosen, the partner was chosen before the incentive position was understood, and the financing was arranged last when it should have shaped everything before it.
By the time those decisions are visible as problems, they are expensive to reverse. A shareholding agreed on the wrong basis, a licence held by the wrong entity, or a structure that disqualifies the project from the incentive it was counting on — none of these are fixed by working harder on the product.
Sequence is the deliverable.

Ownership, licensing and incentive eligibility interact. Deciding the entity first forecloses options that were worth more than the speed gained.
The right partner is not the first one
The partner who responds fastest is rarely the one with the capability or the standing the venture actually needs three years in.
Financing shapes the deal
Export credit, development finance and local bank criteria each impose structure. Fitting them afterwards costs more than designing for them.

We work across four areas, and the order matters as much as the content. Market and partner work informs the structure; the structure determines what financing is available; the financing constrains what can be committed and when.
Clients come to us with one of the four already decided. Part of the work is establishing whether that decision still holds once the others are examined.

A consultancy delivers a recommendation and its exposure ends there. We run ventures in Malaysia under the same structures we advise on — the same shareholding patterns, the same milestone-linked capital, the same regulatory paths. When we recommend a structure, we have carried its consequences ourselves.
Where an engagement warrants it, we can also take equity and participate directly. That is a separate decision, disclosed before it is taken.

Our advisory practice exists because clients kept asking how our own ventures were put together. The method is the same one we use on our platforms — it is not a separate product.
That has one practical consequence worth stating plainly: we say no more often than a consultancy would. If the structure does not work, the answer is that it does not work, not a longer report.

We align the capital structure with lender and export credit criteria, and sequence the regulatory approvals against it.

Stop at any gate
Each stage ends in a decision. We would rather end an engagement at stage one than deliver three more stages of work around a structure that does not hold.
Interests declared
Any existing relationship with a candidate partner, or any intention to participate as an investor, is disclosed before the stage in which it could matter.
Documents, not decks
Deliverables are the term sheet, the structure chart, the financing plan and the approvals map — the things the next counterparty will actually read.
